These Terms and Conditions ("Terms") govern your access to and use of the website and online services of Atlantic Computer Systems ("ACS", "we", "us", or "our") (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site is informational
The Site provides general information about ACS and our services. It is not an offer or a contract to provide services. Any services ACS provides are governed by a separate written agreement, such as a master services agreement, statement of work, and where applicable a Business Associate Agreement. In the event of a conflict, that signed agreement controls over these Terms for the services it covers.
No professional advice
Content on the Site, including guides, checklists, and articles (for example, materials referencing HIPAA or cybersecurity), is provided for general informational purposes only and is not legal, compliance, financial, medical, or other professional advice. It does not create a client relationship. You should consult qualified professionals before acting on any information, and you rely on Site content at your own risk.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site you represent that you meet these requirements and that any information you provide is accurate.
Intellectual property
The Site and all content on it, including text, graphics, logos, images, video, and software, are owned by or licensed to ACS and are protected by intellectual property laws. "Atlantic Computer Systems" and our logos are our trademarks. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational, non-commercial use. You may not copy, reproduce, republish, scrape, frame, mine, sell, or create derivative works from the Site without our prior written permission. All rights not expressly granted are reserved.
Acceptable use
You agree not to:
- Use the Site in violation of any law or regulation, or to infringe the rights of others.
- Attempt to gain unauthorized access to the Site, its servers, or related systems, or probe, scan, or test their vulnerability.
- Introduce malware, interfere with or disrupt the Site, or impose an unreasonable load on our infrastructure.
- Use automated means to access or collect data from the Site, or harvest contact information.
- Misrepresent your identity or affiliation, or submit false information.
Bookings and submissions
Scheduling a consultation or submitting a form does not create any obligation for ACS to provide services. Any information you submit is handled under our Privacy Policy. Do not submit confidential, sensitive, or protected health information through Site forms.
Third-party links and services
The Site may link to or integrate third-party websites and tools (such as scheduling and form providers). We do not control and are not responsible for third-party content, products, or practices, and your use of them is at your own risk and subject to their terms.
Disclaimer of warranties
The Site and all content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or that content is accurate, complete, or current. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.
Limitation of liability
To the fullest extent permitted by law, ACS and its owners, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of or inability to use the Site, even if advised of the possibility. To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Site will not exceed one hundred US dollars ($100). These limitations are an essential basis of the bargain between you and ACS.
Indemnification
You agree to defend, indemnify, and hold harmless ACS and its owners, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the dispute resolution section below, you agree that the state and federal courts located in Santa Clara County, California have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.
Dispute resolution and arbitration
Please contact us first so we can try to resolve any dispute informally. If we cannot, you and ACS agree that any dispute arising out of or relating to the Site or these Terms will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and ACS waive any right to a jury trial and agree that claims may be brought only on an individual basis and not as a plaintiff or class member in any class or representative action. You may opt out of this arbitration agreement by notifying us within 30 days of first accepting these Terms.
Changes to the Site and these Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms, and the "Last updated" date reflects the current version. Your continued use of the Site after changes take effect constitutes acceptance.
Termination
We may suspend or terminate your access to the Site at any time, with or without cause or notice. Provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.
General
These Terms, together with our Privacy Policy, are the entire agreement between you and ACS regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may. We are not liable for delays or failures caused by events beyond our reasonable control.
